At the Extraordinary General Meeting (EGM) of the Society of Operations Engineers scheduled for Monday, 2 September 2024, at 11:00 am, the key focus will be

  • To approve the amended Articles of Association for the Society of Operations Engineers

This EGM represents a significant step towards enhancing the governance and future direction of our Society. The proposed changes primarily focus on modifying the structure of the Trustee Board, reverting from the current model introduced in June 2022 to a more traditional governance structure.

The Introduction of Lead Directors

In June 2022, the composition of the Trustee Board underwent substantial changes. The goal was to introduce a more modern, sector-representative approach to governance by appointing lead directors. These directors assumed responsibility from the CEO, working alongside coopted members and sector representatives. The intention behind this change was to distribute leadership across a broader group and engage more directly with industry sectors.

Returning to a Traditional Board Structure

In response to these challenges, the Trustee Board proposes reverting to a more traditional governance structure, which has proven effective in many other Professional Engineering Institutions (PEIs). The new model reduces the number of Trustee Board members from 16 to 14, aligning the Society with the best practices observed in similar organisations.

Under the revised structure, all Trustee Board members will continue to serve as directors, holding collective responsibility for key decisions. This approach promotes balanced governance and ensures that the entire board works cohesively towards achieving the Society's strategic goals.

Why This Change Matters

  • Improved Governance and Efficiency: The reduction in the size of the board will streamline decision-making processes, allowing for quicker, more effective governance. A more focused group of 14 equally responsible directors will facilitate better coordination and accountability across the board.
  • Empowering the Staff Team: Alongside this restructuring, the amended Articles of Association empower the SOE’s staff team at head office to manage the day-to-day operations of the Society. This will allow the Trustee Board to concentrate on setting the strategic direction and policy of the Society, rather than stalled in operational details. The clear separation between governance and operations is a hallmark of effective, modern governance, ensuring that the Society remains responsive to both its members and external stakeholders.
  • Aligning with Sector Standards: Many PEIs already function under a traditional governance model, with a streamlined board that can dedicate its time to high-level strategic oversight. By aligning our structure with these proven models, the Society can ensure it remains both competitive and well-governed.

The proposed amendments to the Articles of Association represent a necessary evolution in the governance of the Society of Operations Engineers. The introduction of lead directors in 2022 was an ambitious step, but due to unforeseen external pressures, the board now recognises that a more traditional governance structure is better suited to meet the Society’s needs. 

By reducing the number of board members and clarifying the roles between the Trustee Board and staff, we can ensure more effective leadership and operational efficiency.
